Terms of Service
These terms govern your access to and use of Prism Advisor Workspace. By creating a workspace or using the service, you agree to them.
1. Eligibility & accounts
You must be at least 18 and authorized to act for the firm you register. You are responsible for the accuracy of your account information, for all activity under your credentials, and for keeping them secure. We strongly recommend enabling multi-factor authentication.
2. The service & its current stage
Prism is software that helps advisory firms plan, communicate with clients, and run back-office workflows. The service is offered on an evolving basis: features, limits, and pricing may change, and parts may be labeled preview or beta. During a preview period, accounts may be provided free of charge and without a service-level commitment.
3. Customer data & ownership
As between the parties, you own the data you and your clients put into Prism ("Customer Data"). You grant us a limited license to host and process Customer Data solely to provide and secure the service, as described in our Privacy Policy and Data Processing Agreement. You are responsible for having the rights and consents needed to put Customer Data into Prism.
4. Professional & regulatory responsibility
Prism is a software tool. It is not a broker-dealer, registered investment adviser, bank, or law, tax, or accounting firm, and it does not provide investment, legal, tax, or accounting advice. Calculators and outputs are aids, not recommendations. You remain solely responsible for your advice, suitability determinations, fiduciary duties, disclosures, supervision, and compliance with all laws and regulations applicable to your firm.
5. Acceptable use
You agree not to:
- use Prism unlawfully or to store data you have no right to store;
- attempt to access another tenant's data, circumvent row-level security, or probe, scan, or breach the service except under a disclosure program we authorize;
- reverse engineer, resell, or build a competing service from the software;
- upload malware or disrupt the integrity or performance of the service;
- misrepresent Prism's regulatory status to your clients.
6. Fees & billing
Paid plans are billed through our payment processor (Stripe) on the cycle shown at purchase. Fees are exclusive of taxes. Except where required by law, fees are non-refundable. We will give reasonable notice of price changes. Non-payment may result in suspension.
7. Third-party services
Prism integrates optional third-party services (including Plaid, Stripe, and Google). Your use of those features is also subject to those providers' terms, and we are not responsible for their acts or omissions.
8. Disclaimers
The service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that outputs are accurate for your specific use.
9. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or lost profits or data. Our total aggregate liability arising out of or relating to these terms will not exceed the greater of the amounts you paid us in the twelve months before the claim or US $100.
10. Indemnification
You will defend and indemnify the Operator against third-party claims arising from your Customer Data, your use of the service, or your breach of these terms or of laws applicable to your firm.
11. Term & termination
Either party may terminate with notice; you may stop using Prism and close your workspace at any time. We may suspend or terminate access for material breach or to protect the service or other customers. On termination, you may export your data for a reasonable period, after which it is deleted as described in the DPA.
12. Governing law
These terms are governed by the laws of the State of Colorado, United States, without regard to conflict-of-law rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located in Colorado.
13. Changes
We may update these terms; the "last updated" date will change and material updates will be communicated to firm administrators. Continued use after an update constitutes acceptance.
